Section 97.Power of Tribunal to call annual general meeting.

(1) If any default is made in holding the annual general meeting of a  under section 96, the   may, notwithstanding anything contained in this Act or the  of the company, on the  of any  of the company, call, or direct the calling of, an annual general meeting of the company and give such ancillary or consequential directions as the Tribunal thinks expedient:

Provided that such directions may include a direction that one member of the company present in person or by proxy shall be deemed to constitute a meeting.

(2) A general meeting held in pursuance of sub-section (1) shall, subject to any directions of the Tribunal, be deemed to be an annual general meeting of the company under this Act.

2(20) Company means a company incorporated under this Act or under any previous company law
2(90) Tribunal means the National Company Law Tribunal constituted under section 408
2(5) Articles means the articles of association of a company as originally framed or as altered from time to time or applied in pursuance of any previous company law or of this Act

2(55) Member in relation to a company, means—

(i) the subscriber to the memorandum of the company who shall be deemed to have agreed to become member of the company, and on its registration, shall be entered as member in its register of members;

(ii) every other person who agrees in writing to become a member of the company and whose name is entered in the register of members of the company;

(iii) every person holding shares of the company and whose name is entered as a beneficial owner in the records of a depository

74. Application for calling or obtaining a direction to call annual general meeting.-

(1) An application under section 97 for calling or obtaining a direction to call the annual general meeting of the company shall be made by any member of the company in   and shall be accompanied by the documents specified in.

(2) A copy of the application shall be served on the Registrar of Companies on or before the date of hearing.

8.Sec. 74 (2)Application to allow further time as considered reasonable to the company to repay deposits.1. Names and addresses of the officers of the company.
